Please read and understand these Terms and Conditions before using the WIBS.KH’s mobile payment application.

Accepting these terms and conditions of WIBS.KH means you agree to comply with and to be bound by all requirements under these terms and conditions. For details of terms and conditions of WIBS.KH for customers of WIBS.KH’s Payment Services, should you visit our website (https://wibs-khplc.com).

For any disagreement, you may visit our website (https://wibs-khplc.com/); then you may terminate WIBS.KH.

WIBS.KH’s Payment Services

WIBS.KH’s Payment Services are only available to our existing card/account holders and are likewise regulated by the Terms and Conditions which you may find at (https://wibs-khplc.com/). These terms and conditions shall bind all users of WIBS.KH’s Payment Services.

Personal Information

All personal information shall be protected and governed by WIBS.KH’s Confidential Information Policy as listed below. All confidential information shall only be used depending upon the previously agreed reasons as provided in Confidential Information Policy.

Potential Connection to Other Websites

WIBS.KH’s Payment Services may be connected to the websites of third party, which are not under our controls. WIBS.KH assumes no liability for, the content, policies, or practices of websites of third party. Therefore, you shall make sure and agree that WIBS.KH may not take any direct or indirect responsibility and liability for Loss(es) resulting from this connection.

Changes of Terms and Conditions

WIBS.KH shall, at its sole discretion, have the right to modify, update or replace these Terms and Conditions at any time. In case there is a significant change, WIBS.KH shall provide notice at least 30 (thirty) days before new terms and conditions taking its effect. Significant changes shall be determined by WIBS.KH at its sole discretion.

Confidential Information Policy

WIBS.KH, the provider of the WIBS.KH’s Payment App is committed to ensuring secure protection of your confidential information. Your personal information provided shall only be used to identify you when you access to WIBS.KH’s Mobile Payment Application and under agreed statements of terms and conditions.

This confidential information policy may be revised and updated from time to time. The latest revision and update shall take into effect within thirty (30) days after it has been notified by the WIBS.KH.

What kind of information shall WIBS.KH be collected?

The following information shall be collected:

  • The information you provide when registering to use WIBS.KH’s Payment Services such as your name, phone number and account number.

Such required information for registering / signing up may be changed from time to time.

Use of Your Personal Information

Your information is required by WIBS.KH for the purpose of understanding your needs so that we can improve and provide better services. The information specified in this confidential information policy shall be used for the following reasons:

  • Administering WIBS.KH’s mobile payment application;
  • Enabling you to log-in;

Enable you to use services provided on our payment application such as local and international fund transfer, mobile top-up, QR code payments, and so on;

  • Validating purchases, refunds and other activities;
  • Keeping historical records;
  • Improving quality of WIBS.KH’s products and services.

Disclosures

Your information may be disclosed to any of WIBS.KH’s employees, competent authorities, WIBS.KH’s business partners and agents for the purposes as set out in this confidential information policy.

WIBS.KH may also disclose your information in the following cases:

  • If it is required by laws;
  • If it is associated with any legal proceedings or prospective legal proceedings;
  • If it is necessary for establishing, exercising or defending WIBS.KH’s legal rights and for the purpose of preventing fraud and credit risk.

Websites

WIBS.KH’s Mobile Payment Application may contain links to third party’s websites. This confidential information policy shall only apply to this application. You should read their confidential information policy and make sure you understand it well when you intend to link to those websites.

Security

WIBS.KH is committed to maintain that your information is secure. We use the highest and latest Fintech from Japan to protect unauthorized access to or disclosure of your personal information.

I.Customer Terms and Conditions

WIBS.KH Payment Service Plc. (hereinafter called “WIBS.KH”) may at its sole discretion deny any subscriber who has utilized and enjoyed or intends to utilize and enjoy its Payment Services under this Terms and Conditions.

1.Purposes

The purpose of these Terms and Conditions of Use is to set forth the major terms and conditions of transactions associated with the use of WIBS.KH’s Payment Services. By accepting the terms and conditions as stated herein, you acknowledge and agree with “Terms and Conditions of WIBS.KH’s Payment Services” as provided on WIBS.KH’s website.

2.Definition

The technical terms used in these Terms and Conditions shall be defined as the following:

  • "AML" refers to anti-money laundering as set out by the Law and the Prakas on Anti-Money Laundering and Combating of Financing Terrorism.
  • "Available Balance" refers to the balance in the E-Wallet Account in the WIBS.KH’s E-Wallet System which shall be in USD or Khmer riels, and shall be at any given time used subjected to the imposed limits.
  • "Bank Account" refers to an account opening in a bank under WIBS.KH’s name.
  • "Payment Card" or "E-Wallet" refers to a payment card provided to you by WIBS.KH at its discretion, which can be executed at any given payment terminal.
  • "Payment Card’s PIN Number" refers to a four-digit secret code temporarily issued by WIBS.KH or set by payment card holder.
  • "CFT" refers to "combating of financial terrorism" as set out by the Law and Prakas on Anti-Money Laundering and Combating of Financing Terrorism.
  • "Daily Limit of Transaction" refers to the maximum aggregated value of E-Wallet to be executed within one (01) calendar day and/or any other future specified limit by the WIBS.KH.
  • "Deposit Funds" refers to the funds that, under these Terms and Conditions, you authorize WIBS.KH to deposit into a Bank Account.
  • "WIBS.KH Account" refers to your available funds recorded in WIBS.KH’s E-Wallet System.
  • "Loss" refers to any claim, action, demand or proceeding against person and any damage, loss, liability, or expense incurred by a person.
  • "MSISDN" refers to Mobile Subscribers Integrated Services Digital Network (mobile phone number).
  • "PIN" refers to a four-digit secret code for accessing and operating WIBS.KH Account on one’s mobile phone, including temporary PIN provided by WIBS.KH.
  • "WIBS.KH Kit" refers to a set of Payment Card, WIBS.KH’s User Guide Card’s PIN Number and other printed materials provided to you at the registration.
  • "WIBS.KH", "we" or “us” refers to WIBS.KH Payment Service Plc.
  • "WIBS.KH Number" refers to an eight-digit number generated by WIBS.KH, which WIBS.KH uses to define your identity when you are accessing your WIBS.KH Account by your mobile device.
  • "WIBS.KH Payment Outlet" refers to a retail store or any other person WIBS.KH appoints under business agreement to carry out WIBS.KH’s Payment Services.
  • "You" and "your" refers to the consumer of the WIBS.KH’s Payment Services.

3.WIBS.KH’s Payment Services

WIBS.KH’s Payment Services are mobile money services by which you can conduct transactions including but not limited to: 1). Cash-in and Cash-out; 2). Deposit and Withdrawal into/from E-Wallet Account; 3). Local and International Fund Transfer; 4). Card and QR Code Payment; and 5). Mobile Top-up.

4.Application of these Terms and Conditions

  1. These Terms and Conditions provide a legal basis for the operation of the WIBS.KH’s Payment Services. Any person intending to use these payment services shall read and understand these Terms and Conditions and shall contact WIBS.KH immediately if there is any inquiry; and
  2. Accept these Terms and Conditions so that it becomes a legally binding agreement between you and us

5.Eligibility

  1. You are eligible to subscribe for the WIBS.KH’s Payment Services if:
    • You are the registered owner of the MSISDN
    • An individual with the age of over eighteen (18) years old
    • An individual with the age of under eighteen (18) years old, but having provided an evident of consent for the subscription for the WIBS.KH’s Payment Services;
  2. You meet WIBS.KH’s customer identification and verification requirements; and
  3. You own and are able to operate a mobile phone that meets the requirements specified by WIBS.KH from time to time. WIBS.KH is not responsible or liable for any inability of your mobile phone to access and utilize the WIBS.KH’s Payment Services, or for any loss to your mobile phone causing by inappropriate use or access to WIBS.KH’s Payment Services.

6.Authority

Accepting these terms and conditions, you agree and authorize WIBS.KH to execute your transactions on your WIBS.KH Account, given that you provide valid WIBS.KH Number and PIN or Card’s PIN Number. WIBS.KH shall not be liable for any Loss you incurred and we shall not be obligated to any further enquiry. For the purposes of these terms and conditions, WIBS.KH is authorized to debit or credit your E-Wallet Account without prior notice, which shall include but not limited to the following:

  1. Any amount that is or may be owing by you to WIBS.KH and vice versa pursuant to these terms and conditions;
  2. Any commissions payable by WIBS.KH to you under these terms and conditions;
  3. All fines, penalties or other charges incurred by WIBS.KH as a result of any act or omission by you;
  4. Valid transactions you submit to WIBS.KH’s System; and
  5. Any amount you owe WIBS.KH under the indemnities provided by you in favor of WIBS.KH.

WIBS.KH reserves all rights to require you to maintain a minimum credit balance in your E-Wallet. Any such minimum credit balance may be notified by WIBS.KH to you from time to time.

7.Fees and Charges

All fees and charges shall be based on the type of payment services and the value of each payment transaction. The list of fees and charges is provided in a separate announcement of WIBS.KH.

8.Interest

You shall be paid no interest on your Deposit Fund.

9.WIBS.KH’s Payment Service Operation

9.1 Cash-out, Local and International Money Transfers and Mobile Top-up

In the event that you have sufficient balance of funds in your WIBS.KH Account, you shall be able to conduct the following transactions:

  1. Cash-out
    1. Use your WIBS.KH Number together with PIN at authorized WIBS.KH Payment Outlets; or
    2. Use your Payment Card together with Card’s PIN Number at authorized Automatic Teller Machines (ATMs) in the Kingdom of Cambodia and other designated countries.
  2. Local and International Money Transfers

    By using your mobile phone, along with your WIBS.KH Number and PIN, you shall be able to remit your money to:

    1. Registered WIBS.KH retailers;
    2. Registered WIBS.KH billers; and
    3. Registered and unregistered subscribers of the WIBS.KH Payment Services.
  3. Mobile Top-up

    You are able to purchase mobile phone airtime from any mobile phone operator which is a partner of WIBS.KH with your mobile phone, along with your WIBS.KH Number and PIN. The use of your mobile airtime e is under other terms and conditions between you and the applicable mobile operator.

9.2 Cash-in

You may order WIBS.KH or authorized WIBS.KH Payment Outlet to cash in your money into your E-Wallet and other designated E-Wallet. This money shall include payrolls and other benefits from employer.

9.3 Fund Information

Using WIBS.KH’s Payment Services, you shall be able at any time to obtain your fund information. You may:

  1. Check current balance of your WIBS.KH Account on your mobile phone or at any authorized ATMs.
  2. View a mini statement of current transactions via your mobile phone or other mobile devices.
  3. Contact the WIBS.KH Call Centre verbally or in written for any inquiry.

The available balance appeared on you WIBS.KH Account at the enquiry time shall be the current balance; however, to some extent the system may experience failures and technical difficulties, which shall not be able to report account balance information on the real-time basis.

10.Limitation of WIBS.KH’s Liability

WIBS.KH shall not be liable to any instructions (including but not limited to cash-out, local and international money transfers, and other transactions associated with your WIBS.KH Account) and shall, in its discretion, accept, act upon or decline any instruction. WIBS.KH is not responsible for checking or verifying the details or accuracy of your instruction. WIBS.KH is not liable for any Loss caused by your inaccurate payment instruction.

WIBS.KH reserves the right to execute transactions instructed for payment in any order that WIBS.KH chooses. Where the transactions instructed for payment exceeding your available balance in your WIBS.KH Account, such order shall not be executed by WIBS.KH.

Any payment instruction executed by WBIS.KH shall be finalized and irrevocable.

In general, any transaction instructed to the WIBS.KH (for instance: cash-in, cash-out or remittance) shall be processed on a real-time basis, and will be notified electronically to you by WIBS.KH via Short Message Service (SMS). However, there shall be an exceptional case as given in clause 9.3 where the information may not be reported and/or the electronic receipts may not be issued in real time.

In the event that you transact via WIBS.KH Payment Outlet, you have the right to request for a written receipt. You shall retain such transaction receipt for your future reference.

WIBS.KH shall imposed limits on the total value of transaction executed by WIBS.KH Mobile Payment System over a specified period of time. The details of limits shall be specified in WIBS.KH Kit and shall be updated from time to time based on the requirement by the NBC and other competent authorities.

11.Relationship with Bank

Funds deposited with WIBS.KH shall be kept in a Bank Account. You will be recognized by the Bank as its customer. Your deposit funds shall be equal to your WIBS.KH Account Balance. However, you shall not earn any legal and/or beneficial interest from the Bank and only WIBS.KH has the authority to order the Bank to conduct operations, including but not limited to cash-in, cash-out, local and international remittance, balance enquiries, and other bank account transactions in the event that WIBS.KH becomes insolvent in a circumstance that your claim is not satisfied from the proceeds of liquidation.

12.Confidential Information and Privacy

WIBS.KH is authorized to collect your personal information including but not limited to your details of transactions associated with your WIBS.KH Account so that the WIBS.KH be able to provide its payment services to you. Subscribing and accepting these terms and conditions, you enable WIBS.KH to use your information to make plan, conduct research, develop marketing strategies and promote their products and services. You also authorize WIBS.KH to use and disclose your confidential information to the following persons:

  1. Any third party which WIBS.KH outsources to conduct and/or assist its functions and activities;
  2. Any person, agent, contractor, adviser and competent authority authorized or required by laws;
  3. Parent company and subsidiaries of WIBS.KH for internal administrative and operational purposes;
  4. Bank which holds your deposit funds and conducts banking operations associated with the deposit funds; and
  5. Parent company or subsidiaries of the bank which holds your deposit funds for internal administrative and operational purposes.

13.Anti-Money Laundering and Sanctions

WIBS.KH shall, at its discretion, have the right to delay, reject or block any transaction without taking any responsibility if WIBS.KH suspects that the transaction:

  1. May breach any applicable laws and regulations; or
  2. May be directly or indirectly associated with the unlawful conducts or purposes.

For the purposes of Anti-Money Laundering and Combating Financial Terrorism, your information associated with your WIBS.KH Account and transactions shall be disclosed as per the requirement by competence authority, regulatory agency or court in Cambodia or elsewhere.

In the event that you have not proved that you are acting on behalf of another party or in any trustee capacity, it warrants that you are using WIBS.KH’s Payment Services and transacting on your WIBS.KH Account.

You agree and declare that the acceptance and/or payment of monies will not breach any applicable laws and is also not associated with the unlawful conducts or purposes.

14.Payment Card

14.1 Validity of Payment Card

Payment card provided by the WIBS.KH shall remain as a property of WIBS.KH at all the time. It shall be used within the specified period, from issued date until the expiry date.

14.2 Cancellation of Card or Electronic Access

If you have been issued a Card by WIBS.KH, WIBS.KH may cancel or limit your Card, Card-PIN or electronic access through authorized ATMs without prior notice and without any liability if:

  1. It may cause Loss to You and WIBS.KH;
  2. It may be fraudulent and/or involve with suspicious behavior;
  3. Your WIBS Account associated with Card and/or electronic access has been closed;
  4. WIBS.KH’s Payment System is not available or malfunctioning;
  5. Your access or WIBS.KH’s systems and equipment may have been compromised; or
  6. It is required by laws.  

14.3 Security

You shall always keep your WIBS.KH Number, Card and other applicable PINs confidential and secure. WIBS.KH shall not be liable for any Loss incurring by your failure to maintain it.

You shall:

  1. Destroy your card on its expiry date;
  2. Not allow another person to use your WIBS.KH Number and/or payment card;
  3. Not make or allow anyone to know your PIN and/or your payment card’s PIN number; make sure no one watch while you are entering these confidential codes;
  4. Change your PIN frequently
  5. Not use sequential digits or the same digits e.g. 1234, 9876 or 8888;
  6. Not use any number publicly known and easily guessed as a PIN;
  7. Not store PIN anywhere, in written or electronic form; it must be memorized for convenient use; and
  8. Report or notify to WIBS.KH immediately if your payment card, PIN, and/or Card’s PIN number have is lost or stolen or you observe that it is known by anyone else.

15.Liability

You shall be liable for any transaction you conducted using WIBS.KH’s Payment Services, except the case where there is a fraud or direct cause and/or commitment by WIBS.KH, its employees, its agents, its business partners, and network operators it registers.

Notwithstanding any provision of these terms and conditions, WIBS.KH shall not take any responsibility for any Loss associated with WIBS.KH’s Payment Service offered herein.

16.Dispute and Complaint Resolution

For the best interest of consumers of WIBS.KH’s Payment Services, WIBS.KH provides Call Centre / hotline. If you suspect that there is a discrepancy or error occurred in any transaction, and/or there is any question or complaint, you may contact WIBS.KH’s Call Centre/hotline by providing information as the following.

  1. Your name and WIBS.KH Number;
  2. Details of the disputed transaction; and
  3. Other associated information.

Notwithstanding any provision of these terms and conditions, WIBS.KH shall not be liable for any Loss incurred unless you request WIBS.KH within thirty (30) days.

17.Notification of Changes

WIBS.KH reserves the rights to change these Terms and Conditions and Fees and Charges at any time. Such changes will be notified to you at least 30 (thirty) days before it takes effect. Method of notifying such changes shall be as the following.

  1. WIBS.KH’s website and Facebook;
  2. Electronic notice via WIBS.KH’s SMS notifications; or
  3. Direct contact with you if WIBS.KH deems it is necessary.

18.Change in Personal Information

You shall provide WIBS.KH immediate notice of changes in the details of your previously provided personal information, subscribed for using WIBS.KH’s Payment Services. WIBS.KH shall not be taking any responsibility or liability for any error or Loss you incurred unless you have provided with prior notice.

19.Disruption to WIBS’s Payment Service

You acknowledge and agree that, regardless of how it may have been caused, WIBS.KH shall not be taking any responsibility or liability for any error or Loss you incurred where there is a temporary unavailability of the service due to system and/or equipment malfunction or force majeure.

20.Currency

For the purpose of utilizing your WIBS.KH’s Payment Services, you shall have nominated a currency for your account during registration.

You shall also accept and agree to use exchange rates provided by WIBS.KH in case you conduct a transaction in other currencies rather than your nominated currency.

21.Amounts Owing

You agree that WIBS.KH may deduct from the Deposit Funds any amount you owe to WIBS.KH.

22.Suspension or Termination of Use

22.1 By Customer

In case the customer wishes to suspend or terminate the service, he/she shall request for suspension or termination of the Service through means prescribed by WIBS.KH, including the website, mobile device, Call Centre or a visit WIBS.KH’s office.

22.2 By WIBS.KH

WIBS.KH shall at its appropriate discretion terminate its service for the following reasons:

  • Customer has not used the service for more than 12 months, and/or the balance of WIBS.KH Account remains zero.
  • It is required by law
  • In case the customer interrupted or attempted to interrupt smooth progress of the system through hacking or by inducing intentional system overload;
  • In case the customer breaches any of matters set forth in these Terms and Conditions or the applicable laws and regulations;
  • In case the customer made any false entry in the registration application for the Service;
  • In case the customer violated the rights, reputation or credit, etc. of WIBS.KH or that of another person;
  • In case there is reasonable cause to believe that the transaction involving the use of WIBS.KH’s payment services has been made illegally in the name of another person, or it is an abnormal transaction involving forgery or falsification of information in the app or the mobile device;

Upon completion of suspension or termination of the Service, WIBS.KH may give notice by posting in the mobile device in service, or through telephone or e-mail provided by the customer at the time of registration, or through text messages, etc. However, WIBS.KH shall not take any responsibility or liability for any Loss suffered by customer.

In the event that your access to the Payment Services of WIBS.KH has been terminated (due to the closure of your WIBS.KH Account), WIBS.KH shall prepare for payment of the balance of funds maintained on your WIBS.KH Account at the closing date to you at the address used when registered. In case WIBS.KH is not capable of communicating with you at the address you provided when registering to prepare for payment, WIBS.KH will prepare for payment to you by other reasonable means.

23.Indemnity

Each party agrees to settle indemnity and keep indemnified to the other side, and have to indemnify as per the demand, all losses, liabilities, costs (including legal fee) and the damages occurred in connection with any breach of its obligations under this agreement or its officers, employees, advisers or contractors. This indemnity is continuing its validity even if this agreement ended by contractors.

24.Assignment

WIBS.KH may, without prior notice or getting consent from you, assign or transfer all or any part of its rights and obligations under this agreement to any third party. You acknowledge and agree to do act or execute any document as may be directed by WIBS.KH to affect any assignment or transfer contemplated by this clause.

25.Governing Law

These Terms and Conditions are governed by laws of the Kingdom of Cambodia.

II.Merchant Terms and Conditions

WIBS.KH Payment Service Plc. (hereinafter called “WIBS.KH”) may at its sole discretion deny any subscriber who has utilized and enjoyed or intends to utilize and enjoy its Terminal or QR Code Payment Services under this Terms & Conditions.

1.Purposes

The purpose of these Terms and Conditions of Use is to set forth the major terms and conditions of transactions associated with the use of WIBS.KH’s Payment Services. By accepting the terms and conditions as stated herein, you acknowledge and agree with “Terms and Conditions of WIBS.KH’s Payment Services” as provided on WIBS.KH’s website. You agree to the service of WIBS.KH, paying with WIBS.KH’s Payment Service and accepting payments from customers using WIBS.KH account/WIBS.KH’s payment card.

2.Definition

  • "Payment Card" or "E-Wallet" refers to a payment card provided to you by WIBS.KH at its discretion, which can be executed at any given payment terminal.
  • "Payment Card’s PIN Number" refers to a four-digit secret code temporarily issued by WIBS.KH or set by payment card holder.
  • "CFT" refers to "combating of financial terrorism" as set out by the Law and Prakas on Anti-Money Laundering and Combating of Financing Terrorism.
  • "Daily Limit of Transaction" refers to the maximum aggregated value of E-Wallet that have been executed within one (01) calendar day and/or any other future specified limit.
  • "Deposit Funds" refers to the funds that, under these Terms and Conditions, you authorize WIBS.KH to deposit into a Bank Account. “WIBS.KH Account” refers to your available funds recorded in WIBS.KH’s E-Wallet System.
  • "Loss" refers to any claim, action, demand or proceeding against person and any damage, loss, liability, or expense incurred by a person.
  • "MSISDN" refers to Mobile Subscribers Integrated Services Digital Network (mobile phone number).
  • "WIBS.KH Payment Service" refers to the payment method provided by WIBS.KH and accepted by merchant/retail store from time to time.
  • "PIN" refers to a four-digit secret code for accessing and operating WIBS.KH Account on one’s mobile phone, including temporary PIN provided by WIBS.KH.
  • "QR Code" refers to payment instrument.
  • "WIBS.KH Kit" refers to a set of Payment Card, WIBS.KH’s User Guide Card’s PIN Number and other printed materials provided to you at the registration.
  • "WIBS.KH", "we" or “us” refers to WIBS.KH Payment Service Plc.
  • "WIBS.KH Number" refers to the number provided by WIBS.KH at the time you are registered, which allows WIBS.KH to identify you when you access to your WIBS.KH Account at any means.
  • "You" and "your" refers to the consumer of the WIBS.KH’s Payment Services.

3.User’s Obligations

  1. You shall keep Username and Password confidential and shall notify WIBS.KH immediately in case you acknowledge that your username and/or password have been used by any third party.

4.Delivery of Products/Services

You are required to have commercially business practices in connection with use of the services acceptable and act in accordance with all applicable laws and regulations.

  1. Products/Services Prohibition
    1. You fully acknowledge and agree that you shall not provide any product/service that is prohibited by applicable laws and regulations or breach WIBS.KH’s internal policies or that will cause WIBS.KH being considered breaching any applicable laws and regulations;
    2. You shall not sell products and services which is prohibited or prevented from being sold to WIBS.KH card/account holders under any applicable laws and regulations;
    3. You will provide WIBS.KH information about the products/services as reasonably requested by WIBS.KH from time to time. WIBS.KH has the right to refuse to provide any WIBS.KH services with respect to any prohibited product and service;
    4. You will indemnify WIBS.KH for any damages, losses and liabilities that WIBS.KH may suffer arising from or in connection with such prohibited products and services.

5.Confidential Information and Privacy

  1. For the purposes of Anti-Money Laundering and Combating Financial Terrorism, your information associated with your WIBS.KH Account and transactions shall be disclosed as per the requirement by competence authority, regulatory agency or court in Cambodia or elsewhere.
  2. You shall not give or exchange any information related to customers or WIBS.KH’s confidential information or defame WIBS.KH’s Payment Service via social networks or any news media.

6.Rights and Obligations of WIBS.KH

  1. WIBS.KH provides Mobile Payment Services, including but not limited to terminal and QR Code Payment.
  2. WIBS.KH’s Payment Services shall be modified and updated from time to time. WIBS.KH may at its sole discretion provide electronic and/or written notice of such modifications, provided that it does not diminish the quality of service.
  3. WIBS.KH shall provide customer with the operational and technical support.
  4. WIBS.KH shall at its full discretion decline access to, suspend or terminate WIBS.KH’s Payment Services provided to any Merchant or prospective Merchants at any time, without bearing any liability to WIBS.KH.

7.Contractual Relationship

  1. You agree to conduct in good faith and perform all the reasonably important activities associated with your obligation performing under this terms and conditions;
  2. If you are not able meet requirement/obligations as provided above for a period of 3 (three) months after receiving notice from WIBS.KH, WIBS.KH shall be entitled to terminate this service immediately without providing any notice;
  3. WIBS.KH shall be entitled to freeze or withdraw the amount of money in your account without providing any notice in the following cases:
    1. The amount of money in your account is rising because of WIBS.KH’s technical error;
    2. The amount of money in your account is rising because of the deceiving and exploitation activities of commission from WIBS.KH following the review on your WIBS.KH account based on WIBS.KH Dispute Resolution; and
    3. The amount of money you have to repay the customers in the event that you breach the principles of the service.

8.Fees and Payment Terms

All fees and payment terms shall be based on the type of payment services and the value of each payment transaction. The list of fees and payment terms is provided in a separate announcement of WIBS.KH.

9.Notification of Changes

WIBS.KH reserves the rights to change these Terms and Conditions and Fees and Charges at any time. Such changes will be notified to you at least 30 (thirty) days before it takes effect. Method of notifying such changes shall be as the following.

  1. WIBS.KH’s website and Facebook; or
  2. Electronic notice via WIBS.KH’s SMS notifications.
  3. Direct contact with you if WIBS.KH deems it is necessary.

10.Change in Information

You shall provide WIBS.KH immediate notice of changes in the details of your previously provided personal information, subscribed for using WIBS.KH’s Payment Services. WIBS.KH shall not take any responsibility or liability for any error or Loss you incurred unless you have provided with prior notice.

11.Disruption to WIBS’s Payment Service

You acknowledge and agree that, regardless of how it may have been caused, WIBS.KH shall not take any responsibility or liability for any error or Loss you incurred where there is a temporary unavailability of the service due to system and/or equipment malfunction or force majeure.

12.Complaint and Dispute Resolution

  1. You shall primarily be responsible for the complaints initiated by WIBS.KH card/account holders and/or any conflict with WIBS.KH card/account holders resulting from illegal, outdated, false, incomplete, defected and poor quality of products and services; or
  2. In the event that you are not able to resolve those problems, you shall contact to WIBS.KH (+855 81 999 069) immediately.

13.Service Termination

  1. WIBS.KH shall have right to suspend or terminate in part or all of services provided herein by giving 30 (thirty) days’ prior notice.
  2. You shall also have right to terminate in part or all of services provided under this terms and conditions by providing at least 30 (thirty) days’ prior notice to WIBS.KH.
  3. A party may make immediate termination of this agreement if the party see that:
    1. other party has committed any important breach of this agreement which is not remediable, or (where the breach is capable of remedy) is not remedied within thirty (30) days following the required notice to act upon;
    2. other party materially breaches this Terms and Conditions two or more times regardless of whether such breaches are remedied; or
    3. other party becomes insolvent.

14.Consequence of Termination

  1. Termination shall not affect any accrued rights and responsibilities of the parties prior to date of termination.
  2. Prior to the date of termination, you shall immediately return all of WIBS.KH’s equipment, documents, and other belongings in your possession to WIBS.KH at the sole reasonable expense of WIBS.KH;
  3. Fees and/or other amounts charged in advance to each party shall immediately be returned; and
  4. Due payment shall be paid prior to the effective date of termination.

15.Force Majeure

Both parties shall not take any responsibility for loss or default under this agreement, in the case that failure to comply with or conduct any provision of this agreement is caused by reasonable diligence which cannot be controlled or avoided such without limitation, lockouts, strikes, acts of God, acts of nature, acts of governments or its agencies, labor disputes, flood, fire, riots, storm, power failure or power shortages; immediate and unexpected failure or disruption of system by war, sabotage or inability to obtain enough labor, raw materials, fuel or utilities.

16.AML Requirements.

Merchant shall abide by all Applicable Laws and regulations regarding anti-money laundering, counter-terrorism financing and sanctions (“AML/CFT”). In accordance with AML/CFT of National Bank Cambodia, WIBS.KH shall impose appropriate limitations and controls the on merchant’s ability to use the WIBS.KH’s payment services. Such limitations shall include but are not restricted to suspension and termination of WIBS.KH’s payment services and limits of maximum value and volume of transaction. WIBS.KH shall also observe the suspicious transactions to comply with AML/CFT laws and regulation.

17.Governing Law

These Terms and Conditions are governed by laws of the Kingdom of Cambodia.

18.Language

These Terms and Conditions have been made in Khmer. In the case that there is any inconsistency between the original version and any unofficial translation, the Khmer version shall govern.
